Terms of Service

01.Account Registration & Security

• Eligibility: You must be at least 13 years old to use this service.
• Authentication: You must sign up via a valid email address or Google Account. You are responsible for all activity that occurs under your account.
• Account Deletion: You may delete your account at any time via the Settings menu.
• No Restoration: Once an account is deleted, all account data, your personal cloud library, and associated credits are permanently and irreversibly removed and cannot be restored.
• Forfeiture: Deleting your account results in the immediate forfeiture of all remaining credits and all stored library content without a refund.

02.Credit-Based System, Expiration & Cloud Storage

Melogen Studio uses a proprietary credit system to provide AI music generation, editing, and advanced audio processing services, backed by cloud storage.

• Credit Value & Expiration: Credits are a digital-only utility. They have no cash value, are non-transferable, and cannot be exchanged for currency. All purchased credits expire exactly thirty (30) days from the date of purchase.
• Free Credit: New users receive one (1) free credit upon signup for testing purposes.
• Usage: One credit is consumed per generation or advanced processing attempt (such as stem splitting). Credits are consumed at the moment the AI processing begins.
• Cloud Storage & Library: Generated songs, stems, and edits are automatically saved to your cloud-based account library. Storage is maintained as long as your account holds active, unexpired credits.
• Storage Grace Period & Deletion: Upon the expiration of your credits, your cloud library content will be held for a grace period of thirty (30) days. To notify you, Melogen Studio will send an email at the time of credit expiration, and a final warning email seven (7) days before permanent deletion.
• Action Required: During this 30-day grace period, you must either purchase additional credits to extend your cloud storage or download your entire collection. If no purchase is made before the grace period ends, your library content will be permanently and irreversibly deleted from our servers.
• Failed Generations: While rare, technical errors may result in a deducted credit for a failed generation. In such cases, please contact info@melogenstudio.com for a manual review and potential credit replacement.

03.Content Creation & Audio Processing

• Cloud Library Maintenance: While Melogen Studio provides cloud storage, it is intended as a workflow tool and not a permanent backup service. You are strongly encouraged to download your generated tracks and stems to your local devices.
• Audio Editing & Stem Splitting: Advanced processing features like stem splitting require active server resources. Melogen Studio reserves the right to limit concurrent processing requests to ensure system stability.
• Content Creator Feature: The Content Creator feature allows you to input descriptions of video content, which are securely analyzed via third-party AI services (OpenAI) to optimize music generation prompts. You are solely responsible for the text descriptions you submit.
• Storage Liability Waiver: To the maximum extent permitted by law, Phebsoft LLC is not liable for any loss, corruption, or permanent deletion of music files, stems, or library content resulting from credit expiration, the end of the 30-day grace period, or unexpected technical server failures.

04.Payments, Refunds & Statutory Rights

• Payment Processor: All payments are handled securely by Stripe. We receive only payment status and transaction metadata (see Privacy Policy).
• Refund Policy: All credit purchases are final and non-refundable once used.
• EU/UK Right of Withdrawal (2026 Compliance): By purchasing credits and initiating a generation, you provide your express consent to immediate performance of the service. You acknowledge that you lose your statutory right to withdraw from the contract once the digital content generation has begun.

05.Intellectual Property & Usage Rights

• User Input: You are responsible for any prompts, text lyrics, or video descriptions you provide. You warrant that your inputs do not infringe on the intellectual property, privacy, or legal rights of any third party.
• Generated Content: You retain full ownership, copyright, and commercial usage rights to any music files, stems, and edited audio tracks you generate and download from Melogen Studio. You are free to use, modify, distribute, and monetize your downloaded generations.
• Our Technology: Phebsoft LLC and its licensors retain all rights, titles, and interests in the Web App's software, AI models, interface designs, and underlying technology.

06.Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or to generate harmful content.
• Attempt to reverse engineer, scrape, or extract the underlying AI models or source code.
• Use automated bots to create accounts or exhaust free credits.

07.Disclaimer of Warranties

Melogen Studio is provided on an "as is" and "as available" basis. We do not guarantee:

• That the AI-generated output will meet your specific artistic expectations.
• That the service will be 100% uninterrupted or error-free.

08.Limitation of Liability

To the maximum extent permitted by law, Phebsoft LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of data, loss of stored cloud library content due to account deletion or credit expiration, or dissatisfaction with AI outputs. Our total liability shall not exceed the amount paid by you for your most recent credit purchase.

09.Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
